1. Services Overview
1.1 Subscription Design Services
The "Unlimited Design Subscription" provides ongoing design services on a subscription basis
One active design request at a time
Unlimited revisions within scope
Turnaround time: 2-3 business days per request (average)
Monthly subscription with automatic renewal
1.2 Project-Based Services
One-time design projects quoted individually
Scope and deliverables defined before project start
Revision limits specified in project quote
Timeline agreed upon before project commencement
2. Service Terms
2.1 Subscription Terms
Month-to-month subscription with no minimum commitment
30-day notice required for cancellation
Subscription pausing available with 15-day notice
Unused time does not roll over to next month
Services non-transferable to other parties
2.2 Project-Based Terms
50% deposit required to commence work
Final payment due before delivery of final files
Project timeline begins upon receipt of deposit and all required materials
Rush fees may apply for expedited timelines

4. Client Responsibilities
4.1 Required Materials
Brand guidelines (if existing)
Content and copy
High-resolution images
Project brief and requirements
Timely feedback and approvals
4.2 Communication
Single point of contact for project management
Response within 3 business days for feedback
Clear articulation of revision requests
Availability for scheduled meetings
5. Intellectual Property
5.1 Rights and Ownership
Client receives full ownership of final deliverables upon full payment
Designer retains rights to preliminary concepts not chosen
Designer maintains portfolio rights to showcase work
Client responsible for trademark/copyright research
5.2 Source Files
Working files available for additional fee
Standard deliverables in standard formats (JPG, PNG, PDF)
Custom file formats by request
6. Revisions and Amendments
6.1 Subscription Revisions
Unlimited revisions within original scope
Major direction changes count as new requests
Revisions must be requested within 14 days
6.2 Project Revisions
Number of revisions specified in project quote
Additional revisions billed at hourly rate
Scope changes require updated quote
7. Termination
7.1 Subscription Termination
30-day written notice required
Pro-rated refund for unused portion
Active projects must be completed or terminated
Final files delivered upon account settlement
7.2 Project Termination
Kill fee of 25% if terminated before completion
All work completed and paid for is client property
Unused deposit non-refundable after work begins
8. Payment Terms
8.1 Subscription Payments
Monthly billing on subscription date
Auto-payment required
Late payments pause service
Failed payments incur $25 fee
8.2 Project Payments
50% deposit upon agreement
Remaining 50% before final delivery
Late payments incur 1.5% monthly interest
Payment plans available upon request
9. Confidentiality
Non-disclosure of client business information
Secure storage of client materials
Private project details unless authorized
Confidentiality extends post-project
10. Limitation of Liability
Maximum liability limited to project fees paid
No responsibility for third-party services
No guarantee of specific business results
Force majeure clause for circumstances beyond control
11. Dispute Resolution
Good faith negotiation first step
Mediation before litigation

Prevailing party entitled to legal fees
12. Modifications
Terms may be updated with 30-day notice
Subscription clients notified via email
Continued use constitutes acceptance
